Terms of Service

1. Who we are, and what these Terms cover

The-Code-Network and The-Code-Network coupon books are products of Street-Biz Enterprises LLC, an Ohio limited liability company operating from Columbus, Ohio ("Street-Biz," "we," "us"). These Terms of Service ("Terms") govern your use of the website at street-biz.net, our printed and digital QR codes and the redirect service behind them, our free QR code generator, our advertiser services, and our distributor program (together, the "Service").

By using any part of the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" includes it.

2. Eligibility

Anyone may browse the site and scan our printed codes. You must be at least 18 years old (or the age of majority in your state) to apply as a distributor, request advertiser services, or enter into any agreement with us. The Service is not directed at children under 13.

3. Scanning our codes (the free consumer service)

Our printed QR codes are free to scan. Scanning a code takes you to that code's current destination — typically a local offer, event, or business. Two things to understand:

• Destinations change by design. The same printed code points to different offers over time. We decide, and may change at any time, where any code points.
• Offers belong to the advertisers. The businesses, offers, prices, and content a code resolves to are provided by third-party advertisers. We do not guarantee any offer's availability, accuracy, or honor, and your dealings with an advertiser are between you and them. Their websites have their own terms and privacy practices.

We describe what we collect when you scan (very little, and never your raw IP address) in the Privacy Policy.

4. The free QR code generator

Our QR generator at street-biz.net/qr runs entirely in your browser; nothing you type is transmitted to us. It is provided free and as-is. You are solely responsible for the content you encode and for how you use the resulting images, including compliance with applicable law. Codes it produces are static: they permanently encode whatever you typed, and we have no ability to change, disable, or track them.

5. Advertiser terms

Ad placements — booklet page slots, premium positions, channel sponsorships, and rotation slots — are sold under individual orders that identify the product, price, and term. These Terms apply to every order; if a signed order conflicts with these Terms, the order controls for that purchase.

• Creative. Artwork must meet our published print specifications. We review all creative and may decline or require changes to any advertisement in our sole discretion — including content that is unlawful, misleading, or inconsistent with a family-audience free publication. You grant us a non-exclusive license to reproduce, print, distribute, and display your submitted creative and business name in the booklet, on our codes' destination pages, and in reasonable samples of our own work.
• Your representations. You own or have licensed all rights in your creative; your advertisement is truthful and complies with advertising law; and any offer you run will be honored on its stated terms while it is live on a code.
• Print is permanent. Once an edition goes to press, printed placements cannot be altered or withdrawn, and fees for printed placements are non-refundable after the press deadline we communicate to you.
• Analytics are measurements, not promises. Scan reports reflect measured activity. We make no guarantee of scan volume, foot traffic, sales, or any business result.
• Payment. Fees are due as stated on your order. Recurring channel products renew and may be cancelled for future periods as the order provides. We may suspend a channel destination for non-payment.

6. Distributor program

Distributors give our coupon books away free and are paid only for real, verified work. Participation is governed by a separate Distributor Agreement and compensation plan presented at signup; if that agreement conflicts with these Terms, it controls for the program. Its principles, restated here because we mean them:

• Joining is free — always. No purchase, kit, or fee of any kind is ever required to become or remain a distributor.
• Pay is for work, never recruiting. Compensation is earned solely on things like advertising sales you source, verified booklet placements, and approved scouted sites. Nothing is ever paid for signing up other distributors, and commissions are never paid on another distributor's sales.
• No income promises. Most distributors may earn little or nothing. Any earnings depend entirely on your own verified work and results.
• Territories are granted, never sold, remain ours, and may be reassigned under the activity rules in the Distributor Agreement.
• You are an independent contractor, not an employee, agent, or franchisee. You control your own hours and methods; you are responsible for your own taxes. We issue IRS Form 1099-NEC where legally required.
• Honest placement only. Booklets may be placed only with the location owner's permission, and placement logs, photos, and locations you submit must be genuine.

7. Accounts, links, and codes

Parts of the Service are reached through emailed sign-in links, private dashboard links, or codes we issue to you. You are responsible for keeping yours private and for activity that occurs through them. Tell us promptly through the contact options if you believe a link or code of yours has been compromised, and we will rotate it. We may suspend or revoke access that we reasonably believe is being misused.

8. Acceptable use

You agree not to:

• generate artificial scans, use bots or scripts to inflate metrics, or otherwise manipulate scan counts, challenges, placements, or any measurement the Service relies on;
• probe, disrupt, overload, or attempt unauthorized access to the Service or its data, or scrape the Service at scale;
• submit content — creative, photos, messages, or anything else — that is unlawful, infringing, deceptive, or malicious;
• misrepresent your identity or your relationship with us (including claiming to represent Street-Biz without written authorization); or
• resell, sublicense, or commercially exploit the Service except as these Terms or a signed agreement expressly allow.

9. Content you submit

You keep ownership of content you submit (advertising creative, placement photos, scouting submissions, messages). You grant us a worldwide, royalty-free license to host, reproduce, display, print, and use that content as needed to operate, improve, and promote the Service. You represent that you have the rights to grant this license. We may remove any content at our discretion.

10. Our intellectual property

The-Code-Network™ name, the four-color code marks, the booklet design, the site, and the software behind them belong to Street-Biz Enterprises LLC or its licensors. Except for the limited rights these Terms grant, nothing transfers any right, title, or interest to you. Do not use our names or marks without our prior written consent.

11. Third-party services

The Service links to and depends on third parties we do not control — advertiser websites a code may resolve to, and service providers such as our hosting, email, and map-tile providers. We are not responsible for third-party content, terms, or practices.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CODE, OFFER, OR REPORT WILL BE AVAILABLE OR ACCURATE AT ANY PARTICULAR TIME.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

If you are an advertiser or distributor, you will defend and indemnify Street-Biz Enterprises LLC and its owner against claims, damages, and reasonable attorneys' fees arising from your content, your offers, your placements, or your breach of these Terms or applicable law.

15. Termination

You may stop using the Service at any time. We may suspend or terminate access (including any code, link, territory, or account) for breach of these Terms, suspected fraud, legal risk, or discontinuation of the Service. Sections that by their nature should survive — including licenses to already-printed material, payment obligations, disclaimers, limitations of liability, and indemnification — survive termination.

16. Changes

We may update the Service and these Terms. Material changes will be posted on this page with an updated effective date, and where practical we will notify active advertisers and distributors. Continued use after a change takes effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and give us 30 days to try to resolve the dispute informally. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to their jurisdiction.

18. Miscellaneous

These Terms, together with our Privacy Policy and any signed order or Distributor Agreement, are the entire agreement between us regarding the Service. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a sale or reorganization of the business.
